Article 1: Name
1.1 Name
The name of the association shall be Azezo Dimaza Schools Alumni Association (ADSAA). "Azezo Schools Alumni" means an individual
who is a former student of at least one of the schools in Azezo (Atse Fasil Elementary School, Azezo Elementary School, Azezo
Junior High School, and Azezo Comprehensive High School, hereafter schools).
1.2 Status
ADSAA is a non-political, non-ethnic, non-profit, charitable, voluntary association created by alumni members of Azezo
schools.
Article 2: Purpose of ADSAA
2.1 Organize alumni
Organize all alumni and friends of alumni for the promotion of the welfare of the schools and the community of Azezo (hereafter
the community). Support and play an active role in fundraising and resource mobilization efforts, search and identify resources,
and develop innovative ideas that would benefit the schools and the community.
2.2 Foster Strong relationship among alumni
Maintain strong relationship among the alumni, the schools, and the community. Foster and promote participation of the
alumni in the educational, economical, cultural and social activities of the schools and the community.
2.3 Provide convenient forum for alumni
Provide a convenient forum for alumni members to exchange ideas, express sentiments, launch initiatives and address pertinent
issues of the schools and the community.
Article 3: Membership to ADSAA
3.1 Membership
Membership to ADSAA shall be open to all individuals and associations including those who have attended the schools or
any former student who was registered in the schools for any length of time, and anyone interested in helping the association
achieve its goals provided that she/he complies with the association bylaws and as shall be approved by the Executive Committee.
3.2 Registration and Fees
An individual must apply for a membership to become a member. Any alumna or alumnus has the right to be a member without
any preconditions. The minimum amount to be a member is as following $10.00 a registration fee and $5.00 monthly or $60.00
an annual fee. Alumni members can also voluntarily contribute whatever amount of fund they wish for the association. The executive
committee may give fee waiver to individuals if they are not in a sound financial situation. In accordance with non-profit
status all contributions are welcome. The Executive Committee shall decide forms of payments and all associated fund management
issues.
3.3 Duration
Membership to the ADSAA shall be for life.
3.4 Voting rights
All alumni members can vote and hold office in ADSAA. Each alumna or alumnus shall be entitled to one vote on any decision
that requires membership votes.
- Discrimination
The association shall not discriminate against any person because of creed, national origin, sex, age, religious persuasion,
sexual preference and domicile.
Article 4: Elected Officers
4.1 Executive Committee
ADSAA shall be governed by an elected Executive Committee, which shall have complete authority, except as specifically
limited by these bylaws, in all matters related to ADSAA objectives, management, operations and business. The Executive Committee
shall govern by resolutions passed by majority vote, unless otherwise stated in these bylaws. The Executive Committee shall
elect various committees for the purpose of implementing the ADSAA objectives.
4.2 Executive Committee Composition
The Voting members of the Executive Committee shall consist of eleven officers. These include the president, vice president,
secretary, treasurer public relation officer, publication officer, and five representatives from various geographical regions.
These officers shall begin their duties at the close of the annual meeting when they are installed and shall remain in office
for two consecutive years.
4.3 Executive Committee Term of office
The term of office for each officer shall be two years, beginning on the first day of the year immediately following the
annual meeting. All officers may serve for one more term if reelected by the majority of the association members. An individual
may be elected as a member of an Executive Committee and other committees.
Article 5: Duties of Executive Committee
5.1 President
- Shall be the Chief Executive Officer, shall uphold the spirit of the constitution, be responsible for the direction and
management of business, and ensures the implementation of all the objectives and the decisions of the Executive Committee.
- Shall preside at all meetings of the Executive Committee, prepare an agenda for the annual meetings and submit the information
to the Executive Committee in advance of the meetings.
- With the approval of the Executive Committee, shall elect various committee members and committee chairs.
- Maintain close liaison with the chairs of all committees to encourage and assist in their efforts.
- Shall submit a report to the membership on the significant events of her/his administration at ADSAA annual meeting.
- Keep the Executive Committee and ADSAA members advised on significant activities and solicit their suggestions.
- Shall endorse, with the treasurer and the secretary, the cash withdrawal for the amount decided by the executive committee
and deposit check that has been donated to the Association.
5.2 Vice President
5.2.1 Shall act as a President in the latter’s absence or incapacity.
5.2.2 Assure that members of the committee have been appointed and
assigned their responsibilities.
- Work on selecting committee members to maintain committee membership and assure continuity of function, and request volunteers
to serve on committees.
- Perform other duties delegated by the president or the Executive Committee.
- Shall work in close cooperation with the president.
5.3 Secretary
- Shall distribute meeting agenda at least 24 to 48 hours prior to a meeting, shall take minutes at meetings, and distribute
the minutes to Executive Committee members within 7 days.
- Maintain an up to date list of all ADSAA members and their contact addresses.
- Shall process all membership application form and membership fees.
- Keep the Executive Committee advised on significant activities.
- Perform other duties as delegated by the president or the Executive Committee.
- Shall co-endorse, with the president and the secretary, the cash withdrawal for the amount decided by the executive committee
and deposit check that has been donated to the association.
5.4 Treasurer
- Serve as chair of the finance committee, and with the committee develop short- and long-range financial programs, subject
to the approval of the Executive Committee.
- Shall oversee ADSAA finances as related to fund raising and operations.
- Shall co-endorse, with the president and the secretary, the cash withdrawal for the amount decided by the executive committee
and deposit check that has been donated to the association.
- Document the log of financial expenses, contributions, balances, and related issues.
5.4.5 Shall prepare financial reports and related documents for annual auditing.
- Shall prepare all relevant documentation for year-end income tax report. Submit summary of financial reports to the Executive
Committee. This may include annual reports containing, but not limited to, (a) the assets and the liabilities; (b) the revenue
or receipts for the fiscal year; and (c) the expenses or disbursements during the fiscal year.
- Shall prepare all financial related documents and exchange of signature for the newly elected Treasurer.
5.5 Public Relation Officer
- In collaboration with the president, serve as the main liaison officer among the community, the school, ADSAA and the
general public thereby acting as an advocate of the ADSAA objectives.
- Organize the annual meetings, social functions, and networking events.
- Oversee the recruitment and retention of members.
- Perform other duties as delegated by the president or the Executive Committee.
5.6 Publication Officer
- Communicate with other executive officers and the general members to solicit contributions and inputs on various articles.
Assemble news of interest on the school, the community and ADSAA members from any reliable sources.
- Chairs the publication committee of the ADSAA newspaper.
- Oversee the submittal of articles, reviews articles (together with the publication committee), selects publication frequency,
and ensures the timely distribution of the newspaper.
- Oversee the ADSAA website launching, management, content / format selection, and fee payments.
5.7 Executive Committee Members
- Represent ADSAA members of various geographical regions.
- Participate in all decision-making processes of the Executive Committee.
- Perform other duties as delegated by the president or the Executive Committee.
Article 6: Vacancies and Removal of the Executive Committee Members
6.1 Open Vacancies
Any vacancies in the ADSAA offices or its committees may be filled by appointment by the President and confirmation by
the Executive Committee. The term of appointment shall begin upon confirmation and shall expire at the final adjournment of
the annual meeting of the association at which a successor is elected to fill such vacancy. Individuals who are appointed
to fill vacancies may be eligible to a full term following their initial appointment.
6.2 Removal
When any Executive Committee or committee member shall, in the judgment of the Executive Committee, become incapable of
discharging the duties of her/his office or otherwise, shall neglect or refuse to perform such duties, she/he may be removed
from such office or duties by a two-thirds vote of the Executive Committee.
Articles 7: Executive Committee Meetings
7.1 Annual Meeting
The annual meeting of the association shall be held at a location to be decided by the Executive Committee.
7.2 Quarterly Meetings
The Executive Committee shall hold regular quarterly or biannually meetings as deemed necessary. The committee shall decide
the time, the place, and the form of conferencing.
7.3 Special Meetings
Special meetings of the association may be called by the President upon vote of the Executive Committee, or upon the written
request of no less than fifty percent of the association members.
7.4 Meeting Format
All Officers and Committees members shall put their maximum effort to report at this meeting. The Executive Committee may
set up a guideline to allow the format of attendance (teleconference, email, etc.) when an executive officer is unable to
attend the annual meeting.
7.5 Quorum
A Quorum at a meeting of the association shall be seventy percent of the executive members.
7.6 Notice of Meetings
Printed or email notice stating the place, the day, the time of the meeting and tentative agenda shall be delivered to
each member not less than 24 to 48 hours before the meeting. This is the duty of the secretary.
Article 8 Committees to be Elected by the Executive Committee:
8.1 Finance Committee
- Together with the financial officer, oversee ADSAA financial management.
- Shall consist of three ADSAA members
8.2 Publication Committee
- Together with the publication officer, oversee ADSAA publication activities.
- Shall consist of three ADSAA members.
8.3 Social Committee
8.3.1 Together with the public relation officer, oversee ADSAA social affairs.
8.3.2 Shall consist of three ADSAA members.
Article 9: Finances
9.1 Fund Management
The finance committee shall manage the funds for this association. The Executive Committee must approve expenses.
9.2 Fund Allocation
Funds generated by special events shall be directed to the schools or the community for uses jointly determined and agreed
upon by the Executive Committee and the representatives of the schools or the community.
9.3 Fund Maintenance
All funds must be kept in a bank account, and the interest derived must be directed to the association causes as shall
be decided by the Executive Committee.
9.4 Fund Information
All incomes, expenses, and balances shall be examined by the finance committee and shall be reported to the Executive Committee
and the general membership.
Article 10: Headquarters
10.1 Location
The principal office of the association shall be located in Orlando, Florida. The association shall maintain a post office
box or a registered address as deemed necessary. The Executive Committee of the association may change the post office box
and the registered address from time to time.
Article 11: Project Initiation and Implementation
11.1 Project Definition
A project is defined as any activity carried out by ADSSA that aims to benefit the Demaza School and the Azezo community.
This may include, but not limited to, the following activities.
a. Raising and soliciting funds from members and friends of ADSAA and from governmental and non-governmental organizations
for a well defined project.
- Facilitating educational or cultural exchanges that benefit the school and the community.
- All projects that ADSAA will carry out or sponsor are to be a social-welfare type.
- ADSAA shall not support any political and ethnic organization and/or religious institutes.
11.2 Project Initiate
Any alumni member has the right to initiate any kind of project within the framework of the ADSAA objectives.
11.3 Project Initiator Requirement
The project initiator must submit a one or two page proposal to the Executive Committee either in Amharic or English (electronic
or hard copy) with the following details:
- Background information to justify the reason why ADSAA does undertake the project.
- The objectives or goals of the project.
- How the projects will be done including time frames and feedbacks.
- Anticipated outcome and cost of projects.
11.4 Project Approval
The 11 members of the executive committees must review any initiated project, and any project must be supported by at least
2/3 of the executive committee members before its approval and implementation.
- In the event that the 11 executive committee members are not in the position to review and vote on the proposed projects,
a minimum of 8 executive committees must be present to review and vote.
- If situation a) of article 11.4 were to occur the project can only be accepted only when approved by at least 2/3 of the
8 or more executive committee members.
11.5 Executive Committee Responsibility
The Executive Committee must notify the Initiation, the status, and the progress of any project to all ADSAA members.
11.6 Transfer of Funds or Materials from ADSAA to Project
Any fund or material transfer from ADSAA to the school or the community must have tangible evidence (receipt, letters from
the community or school representatives, etc.) Copies of all evidence must be distributed to the eleven Executive Committee
members.
Article 12: Miscellaneous/Rules/Policies
- Rule at Meetings
Procedures at meetings shall be governed by these bylaws. On issues on which the bylaws are silent, the most recent edition
of rules of orders shall govern procedures at meetings.
12.2 Reports to Executive Committee
The association shall furnish to all members annual report and annual statement containing, but not limited to
- The assets and liabilities of the association
- The principal changes in assets and liabilities during the fiscal year,
- The revenue or receipts of the association for the fiscal year and,
- The expenses or disbursements of the association during the fiscal year.
12.3 Inspection of Books, Records & Properties
Each member may inspect all books, records, documents, and physical properties of the association at any reasonable time.
The right of inspection includes the right to copy and make extracts. Members may elect a permanent auditor to audit the bookkeeping,
or they may appoint auditors annually at an annual meeting.
12.4 Notices:
Unless otherwise indicated herein, when notice are required to be given shall be in writing and shall be addressed to the
member to be notified at the last address shown for such member on the books and records of the association
Article 13: Amendments
13.1 Conditions
These bylaws maybe adopted, amended, repealed, or altered, in whole or in part, by two-thirds majority vote of the general
assembly in attendance at any regular or special meeting, provided that a copy of any amendment proposed for consideration
shall be mailed to the members of the Executive Committee prior to the meeting at which the amendment shall be voted on.
Article 14: Internal Revenue Code Requirements
14.1 As a public supported core organized and operated exclusively for charitable purposes as defined in Section 501©(3)
of the Internal Revenue Code, the following restrictions and conditions are mandatory.
14.1.1 No part of the net earnings shall insure to the benefit of private persons, except that the association shall be
authorized to pay reasonable compensation.
14.1.2 No substantial part of its activities shall consist of attempts to influence legislation by propaganda or otherwise,
and the association shall not participate in or intervene in any political campaign on behalf of any candidate for public
office
14.1.3 Upon dissolution, the remaining assets of the association shall be disposed of exclusively
to assciation qualified under Section 501©(3) of the Internal Revenue Code.
